Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the website, applications, and services operated by Coherly, LLC., a U.S. corporation (“Coherly,” “we,” “us,” or “our”), including the Coherly platform available at https://www.coherly.ai (collectively, the “Services”).
1. Platform Overview
Coherly is a platform that uses artificial intelligence to generate, synthesize, and deliver insights from a wide range of public data sources. The Services are designed to help users read, listen, and take action on complex topics. Users can explore publicly available insights, generate their own private insights, and subscribe to various service tiers ("Plans") that offer different levels of access and functionality.
2. Accounts and Eligibility
To use most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 13 years old to create an account.
3. Subscriptions and Payments
Paid subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless canceled by you before the renewal date. All fees are non-refundable, except where required by applicable law. If you cancel a paid subscription, you will retain access to the paid features until the end of your current billing period. We reserve the right to change our subscription fees with reasonable prior notice.
4. User Content
You retain full ownership of the intellectual property rights in the content you create or upload to the Services ("User Content"). By submitting User Content, you grant Coherly a limited, worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and process that content solely for the purpose of operating, improving, and providing the Services to you. This license ends when you delete your User Content or your account, subject to system backups.
5. AI Features, Limitations, and User Responsibility
The AI-generated content provided through the Services is for informational and assistive purposes only and does not constitute professional, legal, medical, or financial advice. You acknowledge that AI outputs are probabilistic and may contain inaccuracies, errors, or omissions. You are solely responsible for critically reviewing, validating, and determining the appropriateness of using any AI-generated content. Coherly is not liable for any decisions or actions you take based on such content.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable local, state, national, or international laws or regulations.
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
- Upload or transmit any content that is unlawful, harmful, defamatory, abusive, obscene, or otherwise objectionable.
- Attempt to decompile, reverse engineer, or otherwise discover the source code of our AI systems or platform.
- Interfere with the security, integrity, or performance of the Services or the data contained therein.
7. Content Moderation and Enforcement
While we do not actively monitor private content, Coherly reserves the right to review, remove, or disable access to any public content or accounts that we believe, in our sole discretion, violate these Terms, pose a legal or security risk, or are otherwise harmful to the platform or other users. We may take action without prior notice.
8. Intellectual Property
All platform software, technology, branding, designs, and other materials provided by Coherly (excluding User Content) are the exclusive property of Coherly and its licensors. These are protected by copyright, trademark, and other intellectual property laws. You may not use our branding or trademarks without our prior written consent.
9. Service Availability and Changes
The Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will be uninterrupted, secure, or error-free. Coherly reserves the right to modify, suspend, or discontinue any feature or part of the Services at any time with or without notice, and we will not be liable to you or any third party for any such modification, suspension, or discontinuance.
10. Third-Party Services
The Services may contain links to or integrate with third-party websites, applications, or services that are not owned or controlled by Coherly. We are not responsible for the content, privacy policies, or practices of any third-party services. Your interactions with such third parties are solely between you and them.
11. GDPR Article 28 – Data Processing
To the extent that you are a business user and we process personal data on your behalf, we act as a Data Processor. In such cases, our data processing activities are governed by our Data Processing Addendum, which complies with Article 28 of the GDPR and is incorporated by reference into these Terms.
12. EU AI Act Alignment
Coherly is committed to responsible AI development. We do not deploy high-risk AI systems as defined by the EU AI Act that produce legal or similarly significant effects on individuals. Our AI systems are designed for assistance and content generation, and all significant decisions are left to the user.
13. Termination and Suspension
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, for any conduct that we believe violates these Terms, is harmful to other users, or is otherwise against our interests. You may terminate your account at any time by following the instructions within the Services.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Coherly and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or in connection with your use of the Services. In no event shall Coherly’s total liability to you for all damages exceed the amount of fees paid by you to Coherly during the twelve (12) months immediately preceding the event giving rise to the claim.
15. Governing Law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict-of-law principles.
